Terms & Conditions

1. Definitions

  • "Designer" refers to Cansu Ferreira, the service provider responsible for delivering design services as outlined in the agreement.

  • "Client" refers to the individual or entity purchasing design services from the Designer.

  • "Project" refers to the specific design work agreed upon between the Designer and the Client.

2. Proposal Validity

All project proposals are valid for a period of seven (7) days from the date of issuance. After this period, the terms and pricing outlined in the proposal are subject to change.

3. Payment Terms & Project Slot Reservation

  • A project slot is confirmed only upon receipt of the first payment. Until payment is made, the project schedule is not guaranteed and may be subject to availability.

  • The total project budget is divided into two (2) equal payments:

    • The first invoice is issued upon project approval, and payment must be made before work begins.

    • The second invoice is issued after the presentation of three (3) design options (First Milestone) and must be settled before further project development continues.

4. Accepted Payment Methods

  • Credit card payment via Stripe (subject to a 3% processing fee).

  • Bank transfer to a European bank account.

5. Client Responsibilities

  • The Client must provide all necessary materials (questionnaire answers, brand content, dielines, feedback) within the agreed timeframe to ensure smooth project progression.

  • Delays caused by late submissions from the Client may result in timeline extensions.

6. Project Timeline

  • Availability: Clients should confirm availability dates with the Designer before project initiation.

  • Design Presentation: The initial presentation of design options will be delivered within four (4) weeks of project approval.

  • Revisions: Each revision request will be responded to within two (2) weeks.

  • Delays:

    • If the Client fails to provide feedback or revision requests within two (2) weeks after the presentation, the revision timeline may be extended based on other scheduled work.

    • If the project is placed on hold for more than four (4) weeks without any updates from the Client, the timeline and budget will need to be renegotiated.

7. Copyright and Intellectual Property

  • The intellectual property (IP) and commercial rights of the finalized and approved design option will be exclusively transferred to the Client. This ensures that the Designer will not create similar designs for other clients in the future.

  • The Designer retains the right to showcase the project in their portfolio unless an NDA (Non-Disclosure Agreement) explicitly prohibits it.

  • The IP rights of any non-selected design concepts remain with the Designer and may not be used by the Client.

8. File Delivery & Formats

  • Final design files will be delivered in standard formats (e.g., PNG, JPG, PDF, and vector formats as applicable).

  • Editable source files may be provided upon request, subject to additional charges.

9. Additional Revisions & Extra Work

  • Extra revisions beyond the agreed scope are billed at an hourly rate of $150.

  • Additional requests outside the original scope of work will be quoted separately and must be approved by the Client before execution.

10. Expiration of Rights

  • If final payment is not made, the Client does not receive legal rights to use the delivered design.

  • Unauthorized use of unpaid work may result in legal consequences.

11. Project Cancellation and Refunds

  • If the Client cancels the project after the design options presentation has been delivered, the first payment is non-refundable.

  • However, the Client will not be billed for the remaining project balance.

12. Confidentiality

  • Both parties agree to keep project-related discussions and documents confidential unless otherwise agreed in writing.

  • The Designer reserves the right to mention the collaboration in a portfolio or marketing materials unless restricted by an NDA.

13. Taxation & VAT Exemptions

  • Companies registered outside of France are exempt from VAT.

  • To qualify for VAT reversal, non-French EU clients must provide a valid VAT ID

  • To qualify for VAT exemption, all non-EU companies must provide their company registration details.

14. Dispute Resolution

  • In the event of a dispute, both parties agree to attempt to resolve the issue amicably before taking legal action.

  • If necessary, disputes will be handled in the jurisdiction where the Designer is registered.

15. Force Majeure

  • The Designer is not liable for delays caused by unforeseen circumstances beyond their control, including but not limited to natural disasters, internet outages, or serious illness.

  • If such events occur, the timeline may be adjusted accordingly.

16. General Terms

  • The Designer reserves the right to adjust pricing and terms for future projects based on demand, scope, and complexity.

  • By proceeding with the project, the Client acknowledges and agrees to these terms and conditions.
